1. Scope and Acceptance

2. Pricing and Sales Tax

Quotations: Written quotes expire 30 days from issuance unless stated otherwise.
Tax Obligations: Sales tax is collected on all orders shipped to California.
Tax Exemption: Customers must provide a valid resale certificate prior to shipment to waive sales tax.

3. Shipping, Lead Times, and Backorders

Same-Day Shipping: In-stock items typically ship the same business day if ordered before our daily cutoff time.
Lead Times: Non-stocked, custom, or back-ordered items are subject to manufacturing lead times.
Backorder Cancellations: Backordered items will be fulfilled as a priority but remain subject to material availability and cancellation by either party.
FOB Point: All shipments are Ex Works (EXW) or FOB Shipping Point unless otherwise agreed in writing.

4. Quality Standards and Packaging

Industry Standards: All rubber components conform to standard RMA (Rubber Manufacturers Association) tolerances and guidelines.
Certifications: Certificates of Conformance (CoC) must be requested at the time of order placement.
Bulk Packaging: O-rings are packaged in bulk by default.
Special Handling: Individual bagging, labeling, or specialized lubrication must be requested at checkout and may incur extra fees.

5. Return Merchandise Authorization (RMA) and Refunds

Final Sales: All sales are final due to the industrial nature and shelf-life constraints of elastomeric compounds.
Exceptions: Returns are only accepted for verifiable material defects, damage, or order processing errors.
Timeframe: Return claims must be initiated within thirty (30) days of product delivery.
RMA Required: No returns will be accepted without a pre-approved Return Merchandise Authorization number.
Freight Costs: Customers are responsible for all return shipping charges, which must be sent via prepaid transportation.

6. Technical Support

Eligibility: Technical and application support is strictly limited to the original purchaser.
Nature of Support: Engineering advice is diagnostic; final material compatibility remains the sole responsibility of the buyer.

7. Limited Warranty and Limitation of Liability

Exclusive Remedy: Our sole liability for defective products is limited to a refund of the purchase price or product replacement.
No Implied Warranties: We disclaim all implied warranties, including warranties of merchantability or fitness for a specific purpose.
No Consequential Damages: We are not liable for labor costs, equipment downtime, environmental cleanups, or any incidental damages.

8. Force Majeure

We are not liable for delivery delays or contract failures caused by events beyond our reasonable control. These include natural disasters, raw material shortages, labor strikes, government actions, terrorism, or global health emergencies.
